Acceptance of Terms

Plain English
By using the Service you agree to these Terms. If you are using the Service on behalf of a clinic or organization, you are agreeing on its behalf too.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nave Origyn Limited Liability Company, a Texas limited liability company doing business as Stramesis ("Stramesis," "we," "us," or "our"), governing your access to and use of the Stramesis platform, including the clinic dashboard at app.stramesis.com, and the website at stramesis.com (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a clinical practice or other organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

If your clinic has signed a Subscription Agreement or a Business Associate Agreement with us, or you have accepted user terms when creating a platform account, those terms govern the clinic's subscription, its patient data, and your use of the platform, and they control where they differ from these Terms. If you only visit our website, the provisions of these Terms that concern accounts, subscriptions, patient data, and HIPAA do not apply to you. The Plain English summaries in these Terms are provided for convenience, and the full text of each section controls.

The Service

Plain English
The Service is an administrative tool that helps clinic staff manage patient retention in GLP-1 programs. It is not intended to inform clinical decisions and does not provide medical advice, diagnoses, or treatment recommendations.

Stramesis provides a software-as-a-service platform that helps clinical practices monitor and improve patient retention in GLP-1 medication programs. The Service includes:

  • A clinic dashboard for viewing patient panel dropout risk scores and daily intervention lists
  • Panel analytics and revenue-at-risk reporting
  • Intervention logging and outcome tracking
Important: Not a Clinical Tool
The Service is an operational administrative platform for use by clinic staff, and it is not intended for use by patients. It does not diagnose, treat, or make therapeutic recommendations. The dropout risk score is an operational retention metric, not a clinical finding, and the next steps the Service suggests are administrative, such as a call or a scheduling follow-up, rather than recommendations about any patient's treatment. All clinical decisions remain the sole responsibility of licensed healthcare providers. Providing the Service does not constitute the practice of medicine.

Accounts and Access

Plain English
You are responsible for your account credentials and for everything that happens under your account. Keep your password secure and tell us immediately if you think your account has been compromised.

To use the Stramesis dashboard, you must create an account associated with an enrolled clinic. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately at [email protected] if you suspect unauthorized access to your account
  • Ensuring that all users under your clinic account comply with these Terms

Clinic administrators are responsible for managing staff user accounts within their organization, including adding and removing users promptly when staff leave the organization.

Subscriptions and Billing

Plain English
Subscriptions run on annual terms and are invoiced in advance against a signed Subscription Agreement. There is no self-serve checkout and no month-to-month plan. Subscriptions renew automatically unless either party gives notice at least 60 days before the term ends.

The Service is offered on annual subscription terms. Access is provisioned following execution of a written Subscription Agreement and payment of the applicable invoice. We do not offer self-serve checkout, month-to-month subscriptions, or automatic recurring card billing.

  • Invoicing: Subscription fees are invoiced in advance for the full annual term. Payment is due on the terms stated on the invoice, and access is provisioned once payment is received
  • Term and renewal: Subscription terms run for twelve months from the provisioning date and renew automatically for successive twelve-month terms unless either party gives written notice of non-renewal at least 60 days before the end of the current term, as your Subscription Agreement provides
  • Refunds: Fees for a subscription term are non-refundable except where expressly stated in the applicable Subscription Agreement
  • Non-payment: Where an invoice remains unpaid past its due date, we may suspend access following written notice and a reasonable cure period
  • Price changes: Pricing is fixed for the duration of a subscription term. We may change fees for a renewal term by giving written notice at least 90 days before the renewal date, as your Subscription Agreement provides

Data Ownership

Plain English
As between you and us, you own your clinic's data and your patients' data. We own data that has been de-identified under HIPAA and what we build from it, as your Subscription Agreement provides.

Your data: As between you and us, you retain ownership of all clinic data and patient data you input into the Stramesis platform. By using the Service, you grant us a limited license to process this data solely to provide the Service and as your Subscription Agreement and Business Associate Agreement permit.

Model improvement and product development: Where your agreements permit, we may de-identify patient data in accordance with HIPAA and use it, alone or combined with data from other clinics, to operate, improve, and develop our products, including the dropout risk scoring model and cross-clinic benchmarks. We will not use identifiable patient records for these purposes except as your Business Associate Agreement permits.

Data portability: Your Clinic Owner, or a Clinic Manager the Clinic Owner authorizes, may request an export of your clinic's data at any time during your subscription, or within 30 days after it ends, by contacting [email protected]. We will provide your data in a standard machine-readable format within 15 business days.

Acceptable Use

Plain English
Use the Service for its intended purpose: managing GLP-1 patient retention in a licensed clinical practice. Do not misuse the platform or attempt to access data that is not yours.

You agree not to use the Service to:

  • Violate any applicable law or regulation, including HIPAA
  • Access or attempt to access patient data belonging to another clinic
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use the platform for any purpose other than GLP-1 patient retention management in a licensed clinical practice
  • Upload false or fabricated patient data
  • Attempt to overwhelm or disrupt the platform infrastructure
  • Resell or sublicense access to the platform without written consent
  • Give patients or other persons outside your clinic access to the platform

HIPAA Obligations

Plain English
A Business Associate Agreement is required before patient data can flow into the Service. You are responsible for ensuring your use of the Service complies with your obligations under HIPAA and applicable state health privacy laws.

Each clinic must sign a Business Associate Agreement with us before entering any patient data. Patient enrollment functionality is locked until a BAA is in place.

Each clinic remains responsible for:

  • Obtaining appropriate patient authorizations or consents as required by applicable law
  • Ensuring its use of the Service complies with its obligations under HIPAA and applicable state health privacy laws
  • Raising patient issues with us through the in-app support tickets rather than by email, and identifying patients there only by the clinic patient ID
  • Notifying us promptly if you become aware of any unauthorized access to patient data processed through the Service

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The dropout risk scores generated by the platform are operational estimates based on available data signals and are not clinical diagnoses or guarantees of patient behavior. Statistics, revenue estimates, and other information on our website are provided for general information and may not reflect the results at any particular clinic.

Limitation of Liability

Plain English
Our liability to you is limited to the greater of the amount you paid us in the last 12 months or $100. We are not responsible for indirect or consequential damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVE ORIGYN LIMITED LIABILITY COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

In no event shall our total liability to you exceed the greater of (a) the amount you paid for the Service in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

Termination

Plain English
Either party can end the relationship. You can choose not to renew at the end of your term, or terminate earlier as permitted by your Subscription Agreement. Subject to your Subscription Agreement, we can terminate your account if you violate these Terms, with or without notice depending on the severity.

You may elect not to renew at the end of your subscription term, or terminate earlier where your Subscription Agreement permits, by written notice as your Subscription Agreement provides. Requests to delete an individual user account may be sent to [email protected].

Subject to your Subscription Agreement, we may suspend or terminate your access to the Service immediately and without notice if you materially breach these Terms, including violations of the HIPAA obligations or acceptable use provisions.

Upon termination, your right to access the Service ceases immediately. Data retention and deletion terms are governed by your Subscription Agreement and your BAA.

Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state courts located in Hays County, Texas or the United States District Court for the Western District of Texas, Austin Division.

We reserve the right to update these Terms at any time. We will notify clinic administrators by email at least 30 days before a material change takes effect and will post the updated Terms on this page. A change to these Terms does not change a signed Subscription Agreement or Business Associate Agreement. Continued use of the Service after notice constitutes acceptance of the updated Terms.
